These Terms of Use ("Terms") govern your access to and use of the Jump Shops platform, website, mobile application, and related services (collectively, the "Platform") operated by Jump Shops Inc., a Florida corporation ("Jump," "we," "us," or "our").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Eligibility

You must be at least 18 years old to use the Platform. By using Jump Shops, you represent and warrant that:
• You are at least 18 years old
• You have the legal capacity to enter into these Terms
• You will comply with all applicable laws and regulations

2. Description of the Platform

Jump Shops allows users ("Creators") to curate and showcase products from third-party merchants and brands into personalized digital storefronts ("Shops").

When a visitor clicks on a product displayed in a Shop:
• The visitor is redirected to the merchant’s native website
• Product information, pricing, checkout, payment processing, and fulfillment occur solely on the merchant’s website
• Jump does not process payments or act as the seller of record

Jump provides tracking technology that may attribute qualifying purchases to a Creator’s Shop for commission purposes. Tracking depends on various technical factors and is not guaranteed in all cases.

3. No Sale of Products by Jump

Jump does not:
• Sell products
• Manufacture products
• Set pricing
• Process transactions
• Ship products
• Handle returns or refunds

All transactions occur directly between the visitor and the third-party merchant. Any issues regarding product quality, pricing, shipping, returns, warranties, or disputes must be resolved directly with the merchant.

4. Account Registration

Certain features require account creation.

You agree to:
• Provide accurate and complete information
• Maintain the security of your login credentials
• Accept responsibility for all activity under your account

We may suspend or terminate accounts that violate these Terms.

5. Creator Responsibilities

If you create or operate a Shop, you agree to:
• Accurately represent products
• Not make false or misleading claims
• Comply with all advertising, marketing, and endorsement laws
• Clearly disclose affiliate relationships where required
• Not engage in spam, fraudulent activity, or deceptive practices

Creators are solely responsible for their marketing activities and content.

6. Affiliate Tracking and Commissions

Jump may enable commission tracking between participating merchants and Creators.

You acknowledge that:
• Commission eligibility depends on merchant participation and tracking functionality
• Tracking may rely on cookies, referral links, or other technical methods
• Tracking may fail due to browser settings, ad blockers, device switching, or other technical limitations
• Merchants may reverse commissions for returned, canceled, or fraudulent transactionsJump does not guarantee any specific earnings.

Commission structure, payment timing, and reversals are governed by the Creator Earnings Policy, which is incorporated by reference.

7. Creator Payments and Tax Responsibility

Jump Shops provides tracking technology that may attribute qualifying purchases to a Creator’s Shop. Unless expressly stated in a separate written agreement, Jump does not pay commissions directly to Creators.

All commission payments are the sole responsibility of the participating merchant or brand.

Creators acknowledge and agree that:
• Merchants determine commission rates and payment timing
• Merchants are solely responsible for issuing payments
• Jump is not responsible for delayed, disputed, reduced, or unpaid commissions
• Jump is not the employer, agent, partner, or payroll provider for Creators

Jump may provide commission reporting dashboards, payout summaries, or tax documentation as a courtesy and convenience only.

Any such documentation is informational and does not constitute tax advice, accounting services, or a payment guarantee.

Creators are solely responsible for:
• Reporting income to applicable tax authorities
• Determining and paying any taxes owed in their jurisdiction
• Maintaining accurate financial recordsJump does not withhold taxes and does not guarantee the accuracy of merchant-reported commission data.

8. Intellectual Property

All Platform software, trademarks, branding, and technology are owned by Jump Shops Inc.

You are granted a limited, non-exclusive, non-transferable license to use the Platform in accordance with these Terms.

Creators retain ownership of original content they upload but grant Jump a worldwide, royalty-free license to display, distribute, and promote such content within the Platform.

You may not:
• Reverse engineer the Platform
• Copy or scrape data
• Use automated bots without permission
• Reproduce Jump trademarks without written consent

9. Third-Party Websites and Services

A. The Platform contains links to third-party merchant websites including those managed by Shopify.

Jump does not control and is not responsible for:
• Merchant content
• Website availability
• Data practices
• Product claims
• Security of third-party websitesYour interactions with third-party merchants are solely between you and the merchant.

B. Jump Shops Inc. is an independent technology platform.

Jump is not affiliated with, endorsed by, sponsored by, or officially associated with Shopify Inc. or its affiliates. “Shopify” is a trademark of Shopify Inc.

Products displayed on the Platform may originate from merchants who use the Shopify ecommerce platform. Jump does not control, operate, or manage those merchant stores.Jump is not responsible for:
• Any merchant’s compliance with Shopify’s policies
• Suspension, termination, or restriction of any Shopify store
• Changes to Shopify’s APIs, terms, or technical infrastructure
• Disruptions caused by Shopify platform changes

If a merchant’s Shopify store is suspended, restricted, or modified, related Shops and commission tracking may be impacted. Jump shall not be liable for such disruptions.

10. Disclaimer of Warranties

The Platform is provided "as is" and "as available."Jump disclaims all warranties, including:
• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or reliability
• Continuous or uninterrupted access

11. Limitation of Liability

To the fullest extent permitted by law, Jump shall not be liable for:
• Indirect, incidental, consequential, or punitive damages
• Lost profits or lost data
• Product-related claims
• Merchant disputesJump’s total liability shall not exceed the greater of:• $100 USD, or
• The total commissions earned by you in the three (3) months preceding the claim

12. Indemnification

You agree to indemnify and hold harmless Jump Shops Inc., its officers, employees, and affiliates from any claims arising out of:
• Your use of the Platform
• Your content or marketing activities
• Your violation of applicable laws
• Your breach of these Terms

13. Termination

Jump may suspend or terminate your account at any time for violations of these Terms or misuse of the Platform.

Sections relating to intellectual property, liability, indemnification, and dispute resolution survive termination.

14. Arbitration and Class Action Waiver

Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration in the State of Florida under the rules of the American Arbitration Association.You agree to waive any right to participate in a class action lawsuit or class arbitration.

15. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

16. Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated by reference.

17. Modifications

We may update these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms.
